Preview Terms

These Preview Terms govern the Customer’s use of any Cognism Services provided under a Preview (as defined below). Together with the End User License Agreement terms available at https://www.cognism.com/customer-terms/eula and any additional terms Cognism presents to Customer when an Order for a Preview is placed, they shall form the Agreement between Cognism and Customer in respect of the Preview. This Agreement takes effect when Customer accepts the Preview Terms, and the individual who accepts these Preview Terms for Customer represents that they are authorized to enter into this Agreement on behalf of Customer. Any general terms and conditions which Customer purports to introduce by means of a purchase order or similar system shall not apply. Cognism’s Privacy Policy in effect from time to time and available at https://www.cognism.com/customer-terms/privacy-policy describes Cognism’s treatment of personal data as part of the Services. 

  1. License grant
    1. Subject to Customer’s compliance with this Agreement, Cognism grants to Customer a limited, nonexclusive license to use a non-production instance of the Preview.
  2. Warranties
    1. Previews are provided “AS-IS”, “WITH ALL FAULTS” and “AS AVAILABLE”.
  3. Preview changes
    1. Cognism may change or discontinue Previews at any time without notice.
  4. Confidentiality
    1. Any information Cognism gives to Customer about a Preview will be considered Cognism’s confidential information.
  5. Feedback
    1. If Customer chooses to provide Feedback about a Preview, Cognism may use that Feedback for any purpose without obligation of any kind.
  6. Limitation of liability
    1. Cognism’s maximum liability in respect of Previews is limited to direct damages up to US $100.00.
  7. Defense of third-party claims
    1. Cognism has no obligation to defend, indemnify, or hold Customer harmless for claims brought by third parties arising from Customer’s use of Previews.
  8. Definitions
    “Cognism” means the entity listed as a party on the Customer Order.
    “Customer” means the entity that has entered into this Agreement as set out in the Order.
    “Customer Data” means Data that Customer creates, owns, or to which Customer holds the rights.
    “End User” means any person or machine account that Customer permits to use a Service or access Customer Data.
    “Feedback” means a comment or suggestion volunteered by a party about the other party’s business, products or services.
    “Order” means the method by which Customer obtains its license to use a Service, including by order form. 
    “Previews” means Services provided for preview, evaluation, demonstration or trial purposes, or pre-release versions of the Services such as alpha, beta, or early access.
    “Service” means the Cognism-hosted service which Customer may evaluate in a Customer Order under this Agreement.
    “Subscription License” means the license assigned to an End User.
    “Subscription Term” means the license period agreed between the parties when the Services are ordered.
