Cognism End User License Agreement
This End User License Agreement (“EULA”) is a legal agreement between you (“End User,” “you,” or “your”) and Cognism Limited (“Cognism,” “we,” “us,” or “our”), a company incorporated and registered in England and Wales with company number 09392705, whose registered office is at c/o Worldwide Corporate Advisors, 150 Minories, London, England, EC3N 1LS, United Kingdom. This EULA governs your use of the Cognism Services, as defined below.
1. Definitions
- “Services” means the Cognism software platform and all related services provided by Cognism, including but not limited to, the Cognism website, mobile applications, data services, APIs, and all documentation, information, and other materials provided by Cognism.
- “Customer” means the entity that has entered into the relevant customer agreement with a Cognism entity, under which your End User Account was provisioned.
- “Customer Data” means Data that Customer creates, owns, or to which Customer holds the rights.
- “End User Account” means the individual account created for you to access and use the Cognism Services.
- “Data” means text, data, images and any other materials that are displayed or otherwise made available through the Services, including but not limited to, contact information or company information.
2. Grant of License
Cognism grants you a non-exclusive, non-transferable, limited right to access and use the Cognism Services solely for your internal business purposes, subject to the terms and conditions of this EULA.
3. Use Restrictions
You agree not to:
- Use the Cognism Services in any manner that violates any applicable laws or regulations.
- Use the Cognism Services for any illegal or unauthorized purpose.
- Access or use the Cognism Services in any manner that could damage, disable, overburden, or impair the Cognism Services or interfere with any other party’s use and enjoyment of the Cognism Services.
- Attempt to gain unauthorized access to the Cognism Services, other accounts, computer systems, or networks connected to the Cognism Services.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Cognism Services.
- Rent, lease, loan, sell, sublicense, or otherwise transfer or distribute the Cognism Services or your End User Account.
- Make (or cause to be made) the Cognism Services publicly available for bots or other entities to crawl or scrape.
- Use the Cognism Services to send unsolicited commercial email (“spam”).
- Use the Cognism Services to collect or store personal information in violation of any applicable law or regulation.
- Use the Cognism Services to violate the privacy of others.
- Use the Cognism Services for any purpose that is prohibited by this EULA.
4. Data Ownership and Use
- Cognism Data: You acknowledge and agree that Cognism owns all rights, title, and interest in and to the Cognism Data, including but not limited to, all intellectual property rights. You may only use the Cognism Data in accordance with the terms of this EULA. Unless otherwise specified in the relevant customer agreement under which your End User Account was provisioned, you agree not to reproduce, modify, distribute, sell, or commercially exploit the Cognism Services or Data.
- Customer Data: You retain all rights to your Customer Data. However, you grant Cognism a non-exclusive, worldwide, royalty-free license to use, copy, modify, adapt, publish, translate, create derivative works from, distribute, and display your Customer Data solely for the purpose of providing the Cognism Services.
- Privacy: Cognism respects your privacy and will only use your personal information in accordance with its Privacy Policy, which is available at https://www.cognism.com/customer-terms/privacy-policy.
5. Termination
Cognism may terminate this EULA and your access to the Cognism Services immediately, without prior notice, if you breach any of the terms and conditions of this EULA.
6. Disclaimers
The Cognism Services are provided “as is” and without warranty of any kind, express or implied.
7. Limitation of Liability
To the maximum extent permitted by law, Cognism will not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of the Cognism Services, including but not limited to, loss of profits, loss of data, loss of use, or any other intangible losses. This EULA is subject to any limitation of liability included in the relevant customer agreement under which your End User Account was provisioned.
8. Applicable law and venue
This EULA will be governed by the laws of England and Wales. Any legal action or proceeding will be brought exclusively in the courts located in London. The parties consent to personal jurisdiction and venue there.
The above choices of venue do not prevent either party from seeking injunctive relief in any jurisdiction with respect to a breach of intellectual property rights or confidentiality obligations.
9. Entire Agreement
Unless otherwise specified in the relevant customer agreement under which your End User Account was provisioned, this EULA constitutes the entire agreement between you and Cognism regarding the use of the Cognism Services and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
10. Amendments
Cognism may amend this EULA from time to time by posting the amended terms on the Cognism website. Your continued use of the Cognism Services following the posting of any amendments will constitute your acceptance of the amended terms.
